1. Introduction
These Terms of Business set out the terms on which CDF Capital Management Limited ("we," "us," "our") will act as a property finance broker for you ("the Client," "you," "your").
2. Services Provided
We will use our expertise to source and arrange property finance options that are suitable for your needs based on the information provided by you.
3. Our Fees
- Our standard brokerage fee is a specified percentage of the gross loan amount arranged.
- This fee becomes payable on the acceptance of the loan and a completed Instructions to Act agreement.
4. Client Obligations
- You agree to provide us with accurate and complete information necessary for us to arrange the financing.
- You agree to act in good faith and respond promptly to our communications and requests for information.
5. Acceptance of Loan Offer
- Upon receiving a loan offer that meets your requirements and is acceptable to you ("Acceptable Loan Offer"), you must notify us in writing of your decision to proceed or not within 5 days.
- If you decide not to proceed with an Acceptable Loan Offer, a fee equivalent to 1% of the gross loan amount offered becomes payable by you immediately. This fee compensates us for the time and resources invested in securing the loan offer.
6. Cancellation and Termination
- You may cancel our services at any time by providing us with written notice. However, any fees incurred up to the point of cancellation will remain payable.
- We may terminate our services if you fail to provide required information, fail to respond to communications, or for any other reasonable cause.
7. Confidentiality
We will keep all information provided by you confidential and will not disclose it to any third party without your consent, except as required by law or as necessary to perform our services.
8. Limitation of Liability
Our liability to you for any loss or damage arising from our services shall be limited to the amount of fees paid by you for our services. We shall not be liable for any indirect, consequential, or special loss or damage.
9. Governing Law
These Terms of Business shall be governed by and construed in accordance with the laws of England and Wales.
10. Agreement
By engaging our services, you agree to be bound by these Terms of Business.
